These Terms of Service ("Terms") are issued by EventCatalog Ltd, a company registered in England and Wales (company number 15764703) whose registered office is at 55 Broadgate Lane, Deeping St James, Peterborough, PE6 8NN, United Kingdom ("EventCatalog", "we", "us", "our").

Who these Terms apply to

These Terms are one document. Which part covers you depends on how you use EventCatalog.

  1. Website. If you visit our website at www.eventcatalog.dev, the part headed "Website, free use and EventCatalog Cloud" covers that visit.
  2. Free use of the Software. If your Organisation is an Eligible User under the Business Source License, or you are within the evaluation that licence allows, that licence governs your use of the Software. That use is as is, with no support and no warranty from us, and these Terms do not add a contract for it.
  3. EventCatalog Cloud. If you have an account on EventCatalog Cloud, our licence key and billing portal, the part headed "Website, free use and EventCatalog Cloud" covers that account. EventCatalog Cloud issues licence keys and handles billing. It does not host or store catalogs.
  4. Paid Business or Enterprise subscription. If you buy a paid subscription, the Commercial Licence and Support Terms below are your commercial licence and support terms, together with your Order and, if you have signed one, the DPA. Your use of the website and of EventCatalog Cloud is covered by the part headed "Website, free use and EventCatalog Cloud". On any point about the paid subscription, your Order and the Commercial Licence and Support Terms govern, in the order set out in clause 1.9.

By using the website, requesting a free licence key, or creating an EventCatalog Cloud account, you agree to the part headed "Website, free use and EventCatalog Cloud". By completing a purchase or signing an Order, you agree to the Commercial Licence and Support Terms incorporated into that Order.

Website, free use and EventCatalog Cloud

The website. Content on our website is for information. It may change. It does not form part of the Business Source License, or of any Order, unless the Order says so.

Free licence keys. When you request a free licence key, you confirm that your Organisation is an Eligible User under the Business Source License, to the best of your knowledge. Free use is governed only by that licence. It is provided as is, with no contract for support, no service levels and no warranty. Keep your key within your Organisation. Where that licence forgives past production use, it does so only for use before you knew or reasonably ought to have known that a licence was required.

EventCatalog Cloud accounts. Keep your sign-in details secure. You are responsible for activity on your account, including activity by people you invite. We provide EventCatalog Cloud on a reasonable-efforts basis, with no uptime commitment. We may suspend an account that is used to misuse licence keys.

Acceptable use. You may not use the website or an EventCatalog Cloud account to break the law, to try to gain unauthorised access to our systems, to interfere with those services, or to misuse licence keys, including by misrepresenting eligibility or by sharing a key outside your Organisation. Use of the Software is governed by the Business Source License and, if you have an Order, by clause 3.6.

Name and logo. Clause 3.10 applies to everyone, whether or not you have a paid subscription.

Privacy. Our Privacy Policy explains how we handle personal data, including for website visitors and EventCatalog Cloud accounts.

Liability for this part. To the maximum extent permitted by law, the website, free use of the Software and EventCatalog Cloud are provided as is. We exclude all warranties and all liability for that use, except liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for anything else that cannot be excluded under the law of England and Wales. This paragraph does not limit the Commercial Licence and Support Terms where you have a paid subscription.

Governing law. This part, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the website, free use of the Software or an EventCatalog Cloud account, is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction. Clause 18.2 states the same rule for a paid subscription.

Licensing guidance. Clause 1.7 applies to everyone. Our licensing guidance is not part of these Terms.

Commercial Licence and Support Terms

These Standard Terms are issued by EventCatalog Ltd, a company registered in England and Wales (company number 15764703) whose registered office is at 55 Broadgate Lane, Deeping St James, Peterborough, PE6 8NN, United Kingdom ("EventCatalog", "we", "us", "our").

They apply to every organisation that holds a paid Commercial Licence for EventCatalog on the Business plan or the Enterprise plan ("you", "your"). They become a binding contract between you and us when they are incorporated into an Order.

1. About these Standard Terms

1.1 What these Standard Terms are. These Standard Terms set out the licence, support and commercial terms that apply to all paid customers. Business plan customers normally buy online through the Website. Enterprise plan customers normally sign an EventCatalog Enterprise Agreement. In both cases the same Standard Terms apply, and your Order records the deal-specific details.

1.2 How the contract is formed. Your contract with us for a paid subscription is made up of your Order, these Terms and, if signed, the DPA. The order of precedence between them is set out in clause 1.9.

1.3 The Business Source License. EventCatalog is published under the Business Source License 1.1 with an Additional Use Grant, as set out in the LICENSE file in the EventCatalog source code repository (together, the "BSL"). The generators and plugins we publish use the same Business Source License 1.1, so the same rules apply: Eligible Users may use them free of charge, as is, and every paid plan includes all of them. Under the BSL, Eligible Users may use the Software in production free of charge, as is, with no contract, Order or support, and every Organisation may evaluate the Software in production for 60 days. Everyone may read, modify, fork and make non-production use of the Software under the BSL. A Commercial Licence is required for production use of the Software by an Organisation that is not an Eligible User.

1.4 These Standard Terms add to the BSL, never subtract from it. Nothing in these Standard Terms limits any right you have under the BSL or under the MIT Licence for earlier releases of EventCatalog that were published under it. If any provision of these Standard Terms would restrict a right the BSL grants, the BSL prevails and that provision does not apply to that right. Earlier releases of EventCatalog published under the MIT Licence are not covered by these Standard Terms, except that support for them is described in clause 7.2.

1.5 Where these Standard Terms are published. These Standard Terms are published at https://www.eventcatalog.dev/terms, with the date they were last updated shown at the top. The address https://www.eventcatalog.dev/standard-terms redirects to that page. Your Order identifies the version that applies to you by that date, whether it cites /terms or /standard-terms. Later versions apply to you only from your next renewal, as set out in clause 18.6. We will provide a copy of the version that applies to you on request.

1.6 One document. These Standard Terms are the Commercial Licence and Support Terms in these Terms of Service. The part headed "Website, free use and EventCatalog Cloud" is part of the same document. It covers website visitors, free use under the BSL and EventCatalog Cloud accounts. It does not take the place of these Standard Terms for a paid subscription. Clause 1.9 sets the order of precedence for a paid subscription.

1.7 Licensing guidance. Our published licensing guidance at www.eventcatalog.dev/license-faq explains who qualifies as an Eligible User and how the BSL works in practice. It is for information only and does not form part of the BSL or these Standard Terms. If it differs from the BSL or these Standard Terms, the BSL and these Standard Terms apply. If you want to rely on a particular point in that guidance, ask us to record it in your Order.

1.8 Business use only. Commercial Licences are sold to organisations for business use. By entering into an Order you confirm that you are acting in the course of business, not as a consumer, and that the person accepting the Order has authority to bind your Organisation.

1.9 Order of precedence. If there is a conflict between the documents that make up your contract, they apply in this order: (a) any special terms in your Order that expressly state they override these Standard Terms; (b) the rest of your Order; (c) the DPA, but only in relation to the processing of Support Data; (d) these Standard Terms; (e) the part of these Terms headed "Website, free use and EventCatalog Cloud"; and (f) any document or web page referred to in these Standard Terms, such as the Documentation or the Security Pack. Clause 1.4 always applies, whatever the order of precedence.

1.10 Your own terms do not apply. Terms printed on or referred to in a purchase order, supplier portal, vendor registration form, invoicing platform, click-through acceptance or similar document issued or required by you do not form part of the contract and have no effect, even if we sign, accept or acknowledge that document, unless your Order expressly says that a specific term applies. We may complete vendor registration and supplier forms for administrative purposes only.

2. Definitions and interpretation

2.1 Definitions. In these Standard Terms:

  • "Affiliate" means any entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of more than 50% of the voting interests, as further described in the definition of Organisation in the BSL.
  • "Authorised Users" means employees, contractors and agents of your Organisation, and of any client for whom you hold a Commercial Licence under clause 3.4, whom you allow to use the Software.
  • "Business Day" means Monday to Friday, excluding public holidays in England.
  • "Commercial Licence" means the licence granted under clause 3 for the Subscription Term.
  • "Confidential Information" has the meaning given in clause 17.1.
  • "Documentation" means the user documentation for the Software that we publish at www.eventcatalog.dev, as updated from time to time.
  • "DPA" means our data processing agreement covering Support Data, if you and we have signed it.
  • "Eligible User" has the meaning given in the BSL.
  • "Enterprise Agreement" means an EventCatalog Enterprise Agreement signed by you and us.
  • "Enterprise Features" means federation (connecting multiple catalogs into one organisation-wide view) and any other capability the Website identifies as available on the Enterprise plan.
  • "EventCatalog Cloud" means our licence key and billing portal at eventcatalog.cloud. It does not host or store catalogs.
  • "Fees" means the fees stated in your Order, or, where your Order does not state them, the prices published on the Website at the time of purchase or renewal.
  • "Licence Key" means the signed licence file or token we issue to you to identify your Commercial Licence.
  • "Licensed Teams" means the number of Teams stated in your Order. On the Enterprise plan, this is the maximum number of Teams agreed with you in your Order.
  • "Order" means your online purchase through the Website, a signed Enterprise Agreement, a signed order form, or an invoice or quote you have accepted, in each case that incorporates these Standard Terms.
  • "Organisation" has the meaning given in the BSL: a legal entity together with all of its Affiliates, subject to the exceptions in the BSL for government-owned entities and investment-fund portfolio companies.
  • "Plan" means the Business plan or the Enterprise plan, as stated in your Order and described on the Website.
  • "Security Pack" means the security and data protection documentation we make available to customers on request, as updated from time to time. On the Website this is also called our Trust pack.
  • "Software" means the EventCatalog software published by us under the BSL, together with the generators, plugins and integrations we publish for it under the same Business Source License 1.1, and any updates we release during the Subscription Term.
  • "Start Date" means the date your Subscription Term starts, as stated in your Order or, for online purchases, the date of purchase.
  • "Subscription Term" means the initial term stated in your Order and each renewal term under clause 10.
  • "Support Data" means personal data that you choose to give us, or let us see, for a support request, including during access to your environment that you have expressly agreed to.
  • "Support Hours" means 9:00 to 17:00 UK time on Business Days.
  • "Team" means a group in your Organisation, such as a squad or product team, that owns its own services, events or domains and uses your catalog, as your Organisation defines its teams. Automated systems and AI agents acting for your Organisation are not counted as Teams.
  • "Website" means www.eventcatalog.dev and its subdomains, and EventCatalog Cloud.
  • "Your Content" means the documentation, schemas, diagrams, configuration and other material you create, store or process with the Software.

2.2 Interpretation. Headings do not affect interpretation. "Including" and similar words do not limit the words that come before them. "Writing" includes email. A reference to a web page or document is to it as updated from time to time, unless these Standard Terms say otherwise.

3. Commercial Licence

3.1 Grant. For the Subscription Term, and subject to payment of the Fees and compliance with these Standard Terms, we grant your Organisation a non-exclusive, non-transferable (except under clause 18.5), worldwide licence to install, run and make production use of the Software for your Organisation's own purposes, in any number of catalogs, environments and instances, by any number of Authorised Users within your Licensed Teams.

3.2 What each Plan includes. Every Plan includes every feature, integration, generator and plugin of the Software for documenting your architecture, both at the time of purchase and as released during your Subscription Term. There are no separate plugin or generator licences and no plugin trials. The Business plan covers up to 30 Teams and does not include production use of Enterprise Features. The Enterprise plan covers the Licensed Teams stated in your Order and includes Enterprise Features. This clause describes the scope of the Commercial Licence only and does not limit any right you have under the BSL.

3.3 One licence for your Organisation. One Commercial Licence covers your Organisation, priced by the number of Licensed Teams. You do not need separate licences for Affiliates, catalogs, or development, staging and production environments. An Affiliate may instead buy its own Commercial Licence covering only its own Teams, and your Order may limit your Commercial Licence to named entities or business units.

3.4 Contractors and client work. Your contractors and agents may use the Software on your behalf as Authorised Users. If you are a consultancy, agency or vendor, a Commercial Licence held by your client covers your work for that client. Your own Commercial Licence covers work for your own Organisation; it does not cover your clients unless your Order expressly says so.

3.5 Your responsibility for Authorised Users. You are responsible for your Authorised Users' use of the Software and for their compliance with these Standard Terms.

3.6 What you may not do. You may not: (a) use the Software to provide third parties with access to it, or to catalogs built with it, as a hosted, managed or multi-tenant service, whether or not for a fee, except as the BSL permits or as your Order expressly allows; (b) share your Licence Key with, or use it on behalf of, any organisation outside your Organisation or a client covered under clause 3.4; (c) misrepresent your eligibility or your number of Teams; or (d) remove or alter our copyright, licence or trade mark notices in the Software. These restrictions mirror the BSL and apply in addition to it. They do not limit your right under the BSL to read, modify, fork or redistribute the Software.

3.7 Modifications. You may modify the Software, as the BSL allows. We do not claim ownership of your modifications, but our code within them remains ours and its use remains subject to the BSL and these Standard Terms. Modifications are at your own risk: support and the warranty in clause 13 do not cover problems caused by changes you make.

3.8 Beta and preview features. We may make features available that we label as beta, preview or experimental. You may choose whether to use them. They are provided as is, and the warranty in clause 13.2 and the support targets in clause 6 do not apply to them.

3.9 Third-party components and services. The Software includes open source components that are licensed under their own licences, which are listed in the Software. The Software can connect to services that you choose and configure, such as your identity provider, your AI or LLM provider, your analytics, and package registries. Those services are provided by third parties under their own terms, and we are not responsible for them.

3.10 Ownership. EventCatalog Ltd owns the Software, the Documentation, and the EventCatalog name and logo and other trade marks. Apart from the rights expressly granted in these Standard Terms and the BSL, no rights are granted to you. EventCatalog is a registered UK trade mark of EventCatalog Ltd. You may use the EventCatalog name to refer to the Software, but not in a way that suggests we sponsor or endorse you or your product, and you may not use our logo without our written permission.

3.11 Feedback. You may give us suggestions or feedback about the Software. We may use it freely without obligation to you, but this does not give us any right to your Confidential Information.

4. Evaluation, Teams and renewal review

4.1 Evaluation. Every Organisation gets one 60-day evaluation of the Software under the BSL, starting from its first production use. The evaluation is governed by the BSL, not by these Standard Terms, and we may extend it in writing. Grace periods for coming into compliance are set by the BSL. Where the BSL forgives past production use, it does so only for use before you knew or reasonably ought to have known that a licence was required.

4.2 Self-certification. When you place an Order, you tell us how many Teams you expect to use the Software during the Subscription Term, and you confirm that your Organisation is not an Eligible User. You confirm that what you tell us is accurate to the best of your knowledge. We do not audit your use of the Software.

4.3 Fixed for the term. Your Fees do not change during a Subscription Term, however your use grows. You may move to a larger number of Licensed Teams or to the Enterprise plan at any time by agreement, with the difference in Fees pro-rated for the rest of the Subscription Term.

4.4 Renewal review. Before each renewal we will review with you how the Software is being used, including the number of Teams using it. Your Plan, Licensed Teams and Fees for the next Subscription Term reflect that review, the prices published on the Website at the time and anything agreed in your Order.

4.5 Multi-year terms. If your Order is for more than one year, the review in clause 4.4 takes place on each anniversary of the Start Date, and your Licensed Teams and Fees for the following year are adjusted to match, subject to any discount, fixed price or cap stated in your Order.

4.6 Acquisitions, mergers and divestments. If your Organisation acquires, is acquired by, or merges with another organisation during the Subscription Term, your Commercial Licence continues on its existing terms until renewal. Please tell us about the change. At renewal the combined Organisation's Teams are reviewed together, and if the other organisation already holds a Commercial Licence we will consolidate the two rather than charge twice. If an entity leaves your Organisation during a Subscription Term, it may keep using the Software under your Commercial Licence until the end of the current Subscription Term, and its Teams continue to count within your Licensed Teams. After that, it needs its own Commercial Licence for continued production use, unless the BSL permits that use without one.

4.7 Misrepresentation. If you knowingly understate your number of Teams or misstate your eligibility, we may invoice the difference for the current Subscription Term and any earlier Subscription Terms, and if that invoice is not paid within 30 days we may treat it as a material breach.

5. Licence Keys, telemetry and continuity

5.1 Licence Keys. We issue a Licence Key for your Organisation. It is a signed token verified locally by the Software using a public key built into it. The Software does not contact our servers to validate it, and it works in air-gapped environments. If you still use a licence key issued under our earlier Starter or Scale plans, the Software checks that key online at build time by sending it to our licence service, which, as with any web request, receives the request time and IP address. No catalog content is sent. We will swap an older key for an offline Licence Key on request.

5.2 Expiry, and your builds keep working. Licence Keys expire at the end of your Subscription Term. When a Licence Key is within 30 days of expiry, or has expired, the Software shows a reminder. It continues to build and run, and we never disable a deployed catalog. Continued production use outside the BSL's free-use terms after the applicable grace period is a breach of the BSL, not a technical failure.

5.3 Keeping your Licence Key safe. You will keep your Licence Key confidential to your Organisation and tell us promptly at support@eventcatalog.dev if you believe it has been exposed. We will issue a replacement on request.

5.4 Telemetry. By default, the Software sends usage telemetry when you run development, build and create commands. It includes the organisation name from your configuration, a randomly generated catalog ID, the Software version, the command run, whether a licence is present, its type, status and expiry date, the end date of the evaluation period, plan and feature flags, generator names, counts of the resource types in your catalog (for example, the number of services and events), a one-way hash of your catalog files, and operating system and Node.js versions. The IP address of the machine running the build is visible to the receiving service. Telemetry never includes the names or content of your services, events, schemas, documentation or diagrams, nor any data about the people using your catalog. It is not anonymous, because the organisation name and catalog ID can identify your Organisation. It is sent to our analytics provider, Simple Analytics, and then copied into PostHog by a scheduled job, and is used to understand adoption and improve the Software. You can turn it off by setting EVENTCATALOG_TELEMETRY_DISABLED=1 or DO_NOT_TRACK=1, or telemetry: false in eventcatalog.config.js. Turning telemetry off does not affect the Software, your Commercial Licence or support.

5.5 Account information. We collect and use the contact and billing information you give us, together with your self-certified eligibility and number of Teams, to manage your Commercial Licence. We handle it under our Privacy Policy at www.eventcatalog.dev/privacy.

5.6 If we stop trading. If EventCatalog Ltd ever stops trading, the Software you have installed keeps working, and Licence Keys already issued continue to work for the releases they cover. Published releases remain available from the npm registry and from any mirror you keep. No further development or support would be provided.

5.7 No escrow needed. Because the source code of the Software is published under the BSL and your Licence Key is verified offline, source code escrow is not needed and is not provided.

6. Support

6.1 Support channel and hours. We provide support to Commercial Licence holders in writing and in English, during Support Hours: by email at support@eventcatalog.dev and, on the Enterprise plan, by chat in your private support channel under clause 6.8(b), if you have one. On the Enterprise plan, a monthly call is available if you ask for it: you request it and you arrange it (clause 6.8(c)). Other calls and screen shares are at our discretion and are not available on request (clause 6.8(d)). Requests received outside Support Hours are treated as received at the start of the next Business Day. Our public Discord and GitHub issues remain available to everyone on a best-effort basis, with no response commitment. Never report security issues in public channels.

6.2 Response targets. Our target first response times are:

PlanChannelTarget first response
BusinessEmailWithin 3 Business Days
EnterpriseEmail, or chat in an optional private Slack or Discord channel hosted in your own workspace, if you want oneWithin 1 Business Day

6.3 Priorities. EventCatalog is documentation tooling rather than a critical runtime dependency, so the same first-response target applies to every priority on a Plan. We prioritise our work by impact:

PriorityDescriptionHow we handle it
P1 CriticalA security vulnerability in the Software, or builds failing for all users of a supported release with no workaroundFirst response within the Plan's target. On the Enterprise plan, worked on during Support Hours until a fix or workaround is available
P2 HighA major feature not working, with no reasonable workaroundFirst response within the Plan's target, with a fix targeted for the next release
P3 NormalPartial loss of function, or a workaround existsFirst response within the Plan's target, scheduled by priority
P4 LowQuestions, documentation and feature requestsFirst response within the Plan's target

6.4 What support covers. Support covers installation, configuration, upgrade assistance, guidance on features, and bug reports, bug fixes and error corrections in the Software. It does not cover custom development, training beyond our published Documentation, third-party software and services, unsupported releases, or issues caused by your modifications to the Software. Consulting and training can be arranged separately under clause 8.

6.5 Escalation. If a support request is not progressing, email support@eventcatalog.dev with "Escalation" in the subject line. Escalations go directly to a director of EventCatalog.

6.6 No uptime commitment. The Software is self-hosted, so the availability of your catalogs depends on your own infrastructure, and we do not provide an uptime commitment for it. A deployed catalog does not depend on us to keep serving pages. EventCatalog Cloud is provided on a reasonable-efforts basis without an uptime commitment.

6.7 Nature of the targets, and remedy. Response targets apply during Support Hours and are commitments of effort, not guarantees of outcome or resolution times. Unless your Order says otherwise, if we miss the target first response time for three or more support requests in any 90-day period, you may escalate under clause 6.5. If we have not put the problem right within 30 days after your escalation, you may terminate your Commercial Licence by written notice. This clause states your sole remedy for missed support targets.

6.8 Enterprise plan services. On the Enterprise plan we also provide: (a) a named contact at EventCatalog; (b) if you want one, a private Slack or Discord support channel, hosted in your own Slack or Discord workspace (for example through Slack Connect), which you invite us to join; (c) a monthly call, if you ask for one, which you request and arrange; (d) other calls or screen shares during Support Hours, only at our discretion, where we consider that the quickest route to resolving an issue (those calls and screen shares are not available on request); (e) completion of your own security, privacy and supplier questionnaires; (f) review of, and responses to, contract changes you propose; and (g) vendor registration and supplier onboarding. On the Business plan, we provide the Security Pack and our standard security questionnaire on request.

7. Updates, supported releases and security

7.1 Updates. Updates released during your Subscription Term are included. We make them available through our usual distribution channels (currently the npm registry) and publish release notes for every release. You are responsible for installing updates on your own infrastructure, on your own schedule. We follow Semantic Versioning: minor and patch releases are backwards-compatible, and major releases may include breaking changes, which we document with migration guidance.

7.2 Supported releases. Support covers the latest major version of the Software. When a new major version is released, the previous major version receives critical security fixes only, for 3 months, and then reaches end of life. We announce each new major version in our release notes so that you can plan upgrades. Older releases may continue to be used but are not supported, and security fixes are delivered in new releases that you need to install to receive them.

7.3 Security notifications. We treat serious security issues in the Software as a priority. We do not commit to a fixed time for shipping a security fix. We will notify you by email of security vulnerabilities in the Software that we assess as High or Critical, together with the fixed release, as soon as reasonably practicable after a fix is available. We send these notices to the security contact in your Order or, if none is given, to the email address on your account.

7.4 Secure development. We use commercially reasonable measures in our development and release process to keep the Software free of malicious code, including automated dependency monitoring and code scanning. We will not knowingly include in the Software any virus or other code designed to disrupt, damage or give unauthorised access to your systems. If we become aware of any such code in a release, we will use commercially reasonable efforts to remove it promptly and will notify you under clause 7.3. Licence Key checks and expiry reminders that work as described in clause 5 are not malicious code.

8. Professional services

8.1 Scope. If your Order includes the Success Programme, a workshop, onboarding or other professional services, we will provide them as described in your Order, with reasonable skill and care. They have a fixed scope, and they do not include development work or open-ended consultancy unless your Order says so.

8.2 Scheduling. We will agree dates for sessions with you. Unless your Order says otherwise, prepaid professional services must be used within 12 months after the date you purchase them. Any services not used by then expire, and the Fees for them are not refunded.

8.3 Credits. If your Order says that a programme fee is credited against a Commercial Licence, the credit applies only as stated in your Order.

8.4 Materials. You may use any written materials we give you as part of professional services for your Organisation's internal purposes. We keep ownership of those materials and of our general know-how, methods and templates, and nothing is assigned to you. Your Content remains yours.

9. Fees, invoicing and payment

9.1 Fees. You will pay the Fees stated in your Order. Unless your Order says otherwise, Fees for the Commercial Licence are payable annually in advance, and Fees for professional services are payable in advance on the date of the Order.

9.2 Invoicing. For online purchases you pay by card at checkout. Otherwise, we invoice you on the Start Date and on each anniversary or renewal, unless your Order sets a different schedule. We normally issue invoices through Stripe, and you may pay them by card, bank transfer or any other method shown on the invoice. Fees are payable in the currency stated in your Order.

9.3 Purchase orders. If your Organisation needs a purchase order, please provide it before the date the invoice is due to be issued, and we will quote its number on the invoice. A purchase order is for your administrative purposes only (see clause 1.10). Your obligation to pay does not depend on a purchase order being issued.

9.4 Payment terms. Invoices are due within 30 days of the invoice date unless your Order says otherwise.

9.5 Disputed invoices. If you dispute an invoice in good faith, tell us in writing within 15 days of the invoice date, explaining why. You will pay any undisputed amount by the due date, and we will both work to resolve the dispute promptly.

9.6 Taxes. Fees exclude VAT and other applicable sales, use and similar taxes, which you will pay in addition, except taxes on our net income. You bear any withholding tax. If the law requires you to withhold or deduct any tax from a payment, you will increase the payment so that, after the withholding or deduction, we receive the full invoiced amount we would have received without it.

9.7 Late payment. Overdue amounts accrue interest at the rate set by the Late Payment of Commercial Debts (Interest) Act 1998. If an invoice is more than 30 days overdue, we may, after giving you 7 days' written notice, suspend support and any renewal of your Commercial Licence (including the issue of a renewed Licence Key) until the overdue amount is paid. The Software itself keeps running.

9.8 Refunds. Fees are non-refundable except as stated in clauses 13.2 and 14.1, or where the law requires.

10. Term and renewal

10.1 Term. Your Subscription Term starts on the Start Date and runs for one year unless your Order says otherwise.

10.2 Renewal. Unless your Order says otherwise, your Subscription Term renews automatically for successive one-year terms, unless either party gives written notice of non-renewal at least 30 days before the renewal date. To give notice, email support@eventcatalog.dev, or use any cancellation option available in EventCatalog Cloud.

10.3 Price changes. We may change the published prices for our Plans. A change takes effect for you only at your next renewal, and we will give you at least 60 days' notice before it does. Your Fees never change during a Subscription Term, and any cap or fixed price in your Order applies.

10.4 Existing customers. If you hold a subscription on our earlier Starter or Scale plans, we will contact you before your renewal to agree a fair transition to current pricing. When you renew on these Standard Terms, they replace your previous licence agreement with us from the start of the renewal term.

11. Your data and your content

11.1 You own Your Content. Your Content is yours. It is not part of the Software, and neither the BSL nor these Standard Terms places any condition on it.

11.2 Self-hosted, under your control. You install and run the Software on your own infrastructure. You are responsible for its security, backups, access control (including network access to any server, API or MCP endpoints you enable), configuration and legal compliance.

11.3 Our role. Other than the telemetry in clause 5.4, the online licence check for older keys in clause 5.1 and the account information in clause 5.5, we do not access, store or process your data, and we have no visibility of your catalog content. We are not a processor of personal data in your catalogs, and you remain its controller. We act as an independent controller for the account, licence, billing and telemetry information we hold, as described in our Privacy Policy.

11.4 Support access and Support Data. We will access your environment only if you ask us to and expressly agree to it for a support request, and then only what is needed, for as long as needed, under the confidentiality obligations in clause 17. Please share only the Support Data needed to resolve a support request, and do not share special category data or criminal offence data. We will delete or return Support Data within 30 days after the related issue is resolved. We act as your processor for Support Data. If your organisation needs a data processing agreement, our DPA covering Support Data is available on request.

11.5 Personal data breaches. If we become aware of a personal data breach affecting personal data we hold about you or your personnel, or Support Data, we will notify you without undue delay, and in any case within 72 hours of becoming aware of it, and we will notify the Information Commissioner's Office where the law requires.

11.6 Subprocessors. Our subprocessors are listed in the Subprocessors section of our Privacy Policy at www.eventcatalog.dev/privacy#subprocessors. When we add or replace a subprocessor, we update that section, and the update serves as notice of the change.

11.7 Location and transfers. We store EventCatalog Cloud data in the United Kingdom. Where our providers process personal data outside the United Kingdom, we rely on the safeguards UK data protection law requires, as described in our Privacy Policy.

11.8 Deletion on request. You can ask us to delete your Organisation's EventCatalog Cloud account and related personal data at any time by emailing support@eventcatalog.dev. We will do so within 90 days of your request, except for records we must keep by law, and will confirm when it is done. Not renewing does not by itself trigger deletion, because the Software can continue to be used.

12. Security, assurance and insurance

12.1 Security measures. We will maintain commercially reasonable administrative, technical and organisational security measures that are appropriate to the limited data we hold, as described in the Security Pack. We may update those measures, provided we do not materially reduce the overall level of protection.

12.2 Security Pack. We provide the Security Pack on request. It describes our practices for information, and it does not form part of the contract except where these Standard Terms refer to it.

12.3 Assurance and audit. We will meet any request for assurance about our security and data protection practices first by providing the Security Pack and answering a reasonable written questionnaire (on the Business plan, our standard questionnaire; on the Enterprise plan, yours), no more than once in any 12-month period unless a personal data breach affecting you has occurred or a regulator requires it. If that information is not sufficient to demonstrate our compliance with these Standard Terms or the DPA, or a regulator requires it, you (or an independent auditor bound by confidentiality who is not our competitor) may carry out a remote audit, on at least 30 days' written notice, limited to the matters in question, during Support Hours and without disrupting our business or compromising other customers' information. You will bear your own costs of any audit and reimburse our reasonable costs.

12.4 Insurance. We will maintain professional indemnity and cyber insurance with reputable insurers throughout the Subscription Term. A certificate of insurance is available on request.

12.5 Certifications. We do not hold, and these Standard Terms do not require us to obtain, any formal security certification.

13. Warranties

13.1 Authority. Each party warrants that it has the right, power and authority to enter into and perform its Order.

13.2 Limited warranty. We warrant that, for 90 days from the Start Date of your first Subscription Term, the Software will substantially conform to its Documentation. If you tell us in writing about a non-conformity during that period, we will use commercially reasonable efforts to fix it or, if we cannot do so within a reasonable time, refund the Fees for the affected period. This is your exclusive remedy for breach of this warranty. The warranty does not apply to problems caused by your modifications, use other than in accordance with the Documentation, releases that are no longer supported, beta or preview features, or third-party software and services.

13.3 Services. We will provide support and professional services with reasonable skill and care.

13.4 Disclaimer. EXCEPT AS EXPRESSLY PROVIDED IN THESE STANDARD TERMS, THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, CONDITIONS AND TERMS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING AS TO MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

14. Intellectual property claims

14.1 Our commitment. If a third party claims that your use of the Software in accordance with these Standard Terms infringes its intellectual property rights, we will defend you against that claim at our expense and pay any damages and costs finally awarded against you, or agreed by us in settlement. We may also, at our option and expense: (a) obtain the right for you to continue using the Software; (b) modify or replace the Software so that it is non-infringing while providing substantially equivalent functionality; or (c) if neither is commercially practicable, terminate your Commercial Licence and refund the prepaid Fees for the unused part of your Subscription Term.

14.2 Exclusions. Clause 14.1 does not apply to claims arising from: modifications made by anyone other than us; use in breach of these Standard Terms or the BSL; combination with products, data or services not supplied by us, where the claim would not arise but for the combination; Your Content; use of a release other than the current release where the current release would have avoided the claim; or use of the Software without a Commercial Licence, which is governed solely by the BSL and provided without warranty or indemnity.

14.3 Your commitment. You will defend us against third-party claims arising from Your Content, your use of the Software in breach of these Standard Terms or the BSL, or your breach of applicable law, and pay any damages and costs finally awarded against us, or agreed by you in settlement.

14.4 Conduct of claims. A party seeking protection under this clause 14 must: (a) notify the other party promptly in writing of the claim; (b) not admit liability or settle the claim without the other party's written consent; (c) give the other party sole control of the defence and settlement, provided that no settlement may impose any obligation or admission on the protected party without its consent, not to be unreasonably withheld; and (d) give reasonable cooperation, at the other party's expense.

14.5 Entire remedy. This clause 14 states each party's entire liability, and the other party's exclusive remedy, for third-party intellectual property claims.

15. Limitation of liability

15.1 Unlimited liability. Nothing in these Standard Terms limits or excludes either party's liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for anything else that cannot be limited or excluded under applicable law.

15.2 Excluded losses. Subject to clause 15.1, neither party is liable to the other, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, business, goodwill, anticipated savings or data, arising out of or in connection with the contract, even if advised of the possibility.

15.3 Our cap. Subject to clause 15.1, our total liability arising out of or in connection with the contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the Fees you paid under your Order in the 12 months before the claim arose, except that for claims under clause 14.1 it is limited to three times those Fees.

15.4 Your cap. Subject to clause 15.1, your total liability arising out of or in connection with the contract is limited in the same way as ours under clause 15.3, except that this limit does not apply to your obligation to pay the Fees, your commitment under clause 14.3, or your use of the Software outside the scope of the Commercial Licence or the BSL.

15.5 DPA. Liability under or in connection with the DPA is subject to this clause 15 and counts towards the limits in it.

15.6 Why these limits are reasonable. The parties agree that these limits are reasonable, taking into account that the Software is self-hosted documentation tooling that you run and control on your own infrastructure, that we do not host or process your catalog content, that the Software can be used without a contract under the BSL, and the level of the Fees.

16. Termination

16.1 For breach. Either party may terminate the contract on written notice if the other commits a material breach that is not remedied within 30 days after written notice describing the breach. Non-payment, sharing your Licence Key outside your Organisation, and offering the Software as a hosted service without our agreement are material breaches.

16.2 Insolvency. Either party may terminate the contract immediately on written notice if the other becomes insolvent, enters administration, liquidation or any arrangement with its creditors, or ceases to carry on business, or anything equivalent happens in any jurisdiction.

16.3 No refund on termination. If you terminate under clause 16.1 or 16.2, or under clause 6.7, Fees already paid are not refunded, except as stated in clauses 13.2 and 14.1.

16.4 Effect of termination or expiry. On termination or expiry: (a) your Commercial Licence ends and your Licence Key is not renewed; (b) your rights revert to those you have under the BSL, so if your Organisation is an Eligible User you may continue production use for free, and otherwise you must stop production use within the BSL's grace period or buy a new Commercial Licence; (c) the Software is not disabled and your deployed catalogs keep working; (d) you will pay any Fees due for the period up to termination; and (e) Your Content remains yours.

16.5 No effect on the BSL. Termination of the contract never affects your rights under the BSL, or under the MIT Licence for earlier releases.

16.6 Survival. Clauses 1, 2, 3.10, 3.11, 5.6, 9 (for amounts due), 11, 13.4, 14, 15, 16, 17 and 18 survive termination or expiry.

17. Confidentiality

17.1 Meaning. "Confidential Information" means non-public business, technical or financial information that one party (the discloser) discloses to the other (the recipient) in connection with the contract, which is marked as confidential or would reasonably be regarded as confidential. It includes the terms and pricing of your Order, your eligibility and number of Teams, and anything we see during support access. It excludes information that: (a) is or becomes public through no fault of the recipient; (b) the recipient already knew without an obligation of confidence; (c) the recipient receives from a third party without restriction; or (d) the recipient develops independently. The source code of the Software is not Confidential Information.

17.2 Obligations. The recipient will: (a) use the discloser's Confidential Information only to perform or receive the benefit of the contract; (b) protect it with at least reasonable care, and no less care than it uses for its own confidential information of a similar nature; and (c) disclose it only to its and its Affiliates' employees, contractors and professional advisers who need to know it for that purpose and are bound by confidentiality obligations no less protective than this clause. The recipient is responsible for their compliance.

17.3 Required disclosure. The recipient may disclose Confidential Information where required by law, a court or a regulator, after giving the discloser reasonable notice where the law permits, so that the discloser can seek protection.

17.4 Return or deletion. On the discloser's written request after termination or expiry, the recipient will return or delete the discloser's Confidential Information, except for copies it must keep by law or that are held in routine backups, which remain subject to this clause.

17.5 Duration. These obligations continue for three years after termination or expiry, and for trade secrets, for as long as they remain trade secrets.

18. General

18.1 Dispute resolution. Before starting legal proceedings, a party will describe the dispute to the other in writing, and senior representatives of both parties will make a good-faith effort to resolve it within 30 days. Either party may seek urgent injunctive relief at any time.

18.2 Governing law and jurisdiction. The contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

18.3 Publicity. Unless your Order says otherwise, we may name you as a customer and show your logo on the Website and in sales materials. You can ask us to stop at any time by emailing support@eventcatalog.dev, and we will remove you within 30 days. We will not issue a press release or case study about you without your prior written approval.

18.4 Force majeure. Neither party is liable for any failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control.

18.5 Assignment and subcontracting. You may assign the contract to a successor to all or substantially all of your business, or to an Affiliate, on written notice to us. We may assign the contract to an Affiliate or to a successor to the EventCatalog business on written notice to you. Otherwise, neither party may assign the contract without the other's written consent, not to be unreasonably withheld. We may use subcontractors and service providers to perform the contract, and we remain responsible for their performance.

18.6 Changes to these Standard Terms. We may update these Standard Terms. We will give you at least 90 days' notice of any material change by email or on the Website, and changes apply to you only from your next renewal (the start of your next Subscription Term) after that notice. Until then, the version identified in your Order continues to apply. A change never applies part way through a Subscription Term, including a multi-year term. We will never change these Standard Terms to reduce the rights the BSL gives you. Any other change to your contract must be in writing and signed by both parties.

18.7 Notices. Notices under the contract must be in writing and sent by email: to support@eventcatalog.dev for us, and to the notices contact in your Order or, if none is given, the email address on your account for you. A notice is treated as received on the next Business Day after it is sent, unless the sender receives an automated message that it was not delivered.

18.8 Compliance with laws. Each party will comply with the laws that apply to it in connection with the contract, including anti-bribery, sanctions and export control laws. You will not use the Software, or allow it to be used, in breach of export control or sanctions laws.

18.9 Resellers. If you buy through an authorised reseller, these Standard Terms still apply in full. Resellers cannot change these Standard Terms or make commitments on our behalf.

18.10 Independent parties. The parties are independent contractors. Nothing in the contract creates a partnership, joint venture, agency or employment relationship.

18.11 Third-party rights. No one other than you and us has any right to enforce the contract under the Contracts (Rights of Third Parties) Act 1999.

18.12 Entire agreement. Your Order, these Terms (including these Standard Terms and the part headed "Website, free use and EventCatalog Cloud"), the DPA (if signed) and the BSL are the entire agreement between us about the Software and replace all prior agreements, representations and understandings about it. Each party confirms that it has not relied on any statement that is not set out in them. Nothing in this clause limits liability for fraud.

18.13 Severability and waiver. If any part of the contract is found unenforceable, the rest remains in effect. A failure or delay in enforcing a right is not a waiver of it.

18.14 Electronic signature and counterparts. An Order may be signed electronically and in counterparts, each of which is an original and which together form one document.
